About Notabene
Notabene is building infrastructure that’s transforming how money moves in the digital economy. We’re evolving beyond our compliance foundations to enable the next generation of digital financial services between regulated institutions with unprecedented efficiency. With nearly 50 employees across 14 countries and having recently closed our Series B round last November with support from leading investors including Y Combinator, DRW, F-Prime, Jump Capital, Castle Island, and Green Visor Capital, we’re looking for people like you to help shape the future rails of the crypto industry!
The Role
We're seeking a commercially minded Commercial Counsel based in Europe to work closely with and support our General Counsel, who is based in the New York City area. You'll help manage sophisticated international commercial transactions with leading global banks, financial institutions, and other multinational companies, advise internal business teams, and support the development of our legal operations and AI capabilities. This is a hands-on role requiring strong commercial judgment, technical understanding, and the ability to navigate complex legal and regulatory requirements across jurisdictions worldwide.
Where You’ll Work
This is a 100% remote role open to candidates based in Europe.
What You’ll Be Doing
Draft, review, and negotiate complex SaaS, partnership, and other commercial agreements, including DPAs, DORA Addenda, information security exhibits, and jurisdiction-specific regulatory and outsourcing addenda.
Support the General Counsel in managing international commercial negotiations, while independently handling assigned contracts and projects.
Implement AI-powered legal tools, improve contracting workflows, and drive legal operations and process improvements.
Work with Security, Engineering, and other technical teams to ensure contractual commitments accurately reflect Notabene's technology, security controls, and operational practices.
Advise Sales, Customer Success, and other teams on commercial legal matters and prepare the agreements, templates, and other documents they need.
What You’ll Need
Native-level or fully fluent written and spoken English, with a track record of independently drafting and negotiating complex legal documentation in English.
Fully qualified lawyer in an EU jurisdiction with 3–5 years of post-qualification experience, ideally gained within top-tier law firms, fast-growing tech environments, or a mix of both.
Extensive experience driving end-to-end negotiations for complex enterprise technology agreements, particularly with highly regulated or global corporate clients.
Strong foundation in European regulatory frameworks relevant to tech companies, including data protection, privacy, and sector-specific operational/outsourcing requirements, along with the ability to adapt to international regulatory regimes.
A commercially minded approach to risk management - able to balance business growth with legal exposure, articulate clear risks to stakeholders, and discern strict legal/regulatory imperatives from negotiable commercial points.
Ability to deliver rapid turnarounds in a fast-moving startup environment, with the willingness to work flexibly across international time zones.
